Terms of Use

1. Preamble

LoopStay is a SaaS company based in Geneva, Switzerland. LoopStay provides hotels with an automated guest-communication service on WhatsApp: it welcomes guests before arrival, answers their questions, writes preferences back to the hotel’s property management system (PMS), and follows up after checkout to collect feedback and reviews. The service is provided to clients on a subscription basis.

2. Acceptance of Terms

By subscribing to the service, the client agrees to these Terms of Use. The person accepting on behalf of an organisation confirms they are authorised to bind that organisation. The Terms may be updated from time to time; renewals are subject to the version in force at the time of renewal. Acceptance occurs upon subscription via Stripe or a similar payment platform.

3. Software Access & Restrictions

LoopStay grants the client a limited, non-transferable, non-exclusive right to access and use the software via a web browser. Clients may not modify the software, resell it without written consent, use automated extraction tools against it, or use it to send or host illegal content. LoopStay may suspend accounts that violate these restrictions.

4. Data Protection — GDPR & Swiss LPD

LoopStay complies with the EU General Data Protection Regulation (GDPR) and the Swiss Federal Act on Data Protection (LPD). A separate Data Processing Agreement governs the processing of personal data on behalf of clients. Data transfers outside the EU/EEA are covered by Standard Contractual Clauses (SCCs). Client data is hosted on EU-based cloud infrastructure.

Clients are notified of data breaches affecting them and may request access to, correction of, deletion of, or portability of their data at any time.

5. Subscription & Termination

Monthly subscriptions renew automatically each month; annual subscriptions renew yearly. Cancellation requires ten days’ notice for monthly plans and one month’s notice for annual plans. Clients may terminate via Stripe or by written request to valentin@loopstay.ch.

No refund applies to early termination of annual plans, except in justified cases of force majeure.

6. Taxes & Billing

Prices for Swiss clients include VAT. Prices for non-Swiss clients are exclusive of tax. Payments are processed by Stripe within thirty days of invoicing.

7. AI Responsibility Disclaimer

LoopStay uses artificial intelligence to converse with guests and to summarise feedback. LoopStay does not guarantee the accuracy of AI-generated responses and accepts no liability for errors, bias or AI “hallucinations”. Clients remain solely responsible for the content published under their name.

8. Client Verification (KYC)

LoopStay may require identity verification of clients, in particular for clients established outside the EU or in sensitive jurisdictions.

9. Service Suspension

The service may be suspended in case of non-payment more than thirty days after the due date, serious violation of these Terms, or failure to meet compliance requirements.

10. Backups & Data Retrieval

LoopStay does not guarantee backups beyond standard security measures; clients are responsible for maintaining their own regular backups. After termination, clients may request a copy of their data within ten days.

11. Limitation of Liability

LoopStay’s total financial liability is limited to the amounts paid by the client during the twelve months preceding the claim. LoopStay is not liable for technical failures, AI errors, the client’s own non-compliance, or events of force majeure.

12. Arbitration & Jurisdiction

These Terms are governed by Swiss law. Any dispute will be settled through arbitration in Geneva, Switzerland; the courts of Geneva hold exclusive jurisdiction.

13. Agreement Activation & Termination

The agreement becomes effective upon subscription. Upon termination, client data is deleted within ten days, unless a longer retention period is required by law.
